Terms of Service

1. Who we are and what these terms are

Particle is run by Morijor, a registered partnership in British Columbia, Canada. "We" and "us" mean Morijor. "You" means the person using Particle.

These terms are the agreement between you and us. By creating an account, you agree to them. Our Privacy Policy explains what we do with your data.

2. Who can use Particle

• You must be 18 or older.
• You need one account per person. Keep your password private. You are responsible for what happens in your account.
• Give a real email address, so we can reach you about your account and payments.

3. Particle Plus

• There is no free plan. To chat, make pictures and use the other features, you need Particle Plus.
• Plus costs $20 CAD a month in Canada and $15 USD a month outside Canada. The price shown at checkout is the price you pay.
• Plus is paid monthly and renews on its own each month until you cancel.
• Stripe takes the payment. You agree to Stripe's terms for the payment.
• If a payment fails, you keep Plus for a short time while you update your card. If it still does not go through, Plus stops.
• If we change the price, we will email you at least 30 days before. The new price starts at your next renewal after that. You can cancel before then.

4. Cancelling and refunds

• You can cancel any time in Settings, Your plan.
• After you cancel, Plus stays on until the end of the month you already paid for. Then it stops, and it does not renew.
• We do not give refunds, including for part of a month.
• Deleting your account cancels your plan straight away. Plus ends at once, and there is no refund for the rest of the month.

This does not take away any right you have under consumer law where you live.

5. How much you can use

Plus is meant for one person's everyday use. To keep the price fair:

• Each month of Plus includes a set amount of use, measured by the estimated cost of the AI work behind your messages and pictures.
• When your use reaches $9 of estimated AI cost in a billing month, Particle answers with a plainer, simpler AI model for the rest of that month. Pictures and web search still work.
• When your use reaches $11 of estimated AI cost in a billing month, Particle stops answering, making pictures and searching until your plan renews.
• There are also daily limits on messages and pictures. If you reach one, take a short break and try again later.
• Sometimes Particle may pause for everyone for a little while to protect the service. It comes back on its own.

We may change these limits. If a change makes them tighter, we will tell you first.

6. Teams, agents, the API and the shop

Teams

• A team owner pays for every seat: $20 CAD a seat a month for the first two seats, and $18 CAD for the third seat and each one after. Adding or removing seats changes the next bill, prorated by Stripe.
• The owner invites members, sets their roles and can remove them. Things put in a team space can be seen by its members.
• Each member has their own use limit, the same as Plus.

Agent World and the Agent Pool

• Agent World is an early access feature. It may change, and it may not always work as expected.
• The Agent Pool is money you add ahead of time, by a one-time payment. You decide how much of it each agent gets and the most it may spend in a month. An agent stops when its share runs out or it reaches its limit.
• Agents pay for their work at the same prices as the chat. Money in the pool or with an agent can only be used on Particle. It is not refunded and cannot be cashed out. If you delete your account, any money left in the pool is lost.
• You decide what an agent may do and what you connect it to. You are responsible for what your agents do with the access you give them. Agents ask for your OK before sensitive actions when you set them to.

The Particle API

• API keys let your own programs use Particle. Keep them secret. You are responsible for all use of your keys. You can revoke a key at any time in Settings.
• API use is paid from your Agent Pool, at the price shown on the Developers page. Each key can have its own monthly cap. When the pool or the cap runs out, calls stop.
• Do not use the API to resell Particle as your own AI service, or to get around these terms.

The shop

• Characters and backgrounds are one-time purchases. Once bought, they stay on your account for as long as your account and Particle exist.
• Shop purchases are not refunded.

7. Using Particle fairly

Please do not use Particle to:

• break the law, or help someone else break it
• harm, threaten, harass or deceive people
• make sexual content involving anyone under 18, or any sexual content of a real person without their consent
• make content that pretends to be a real person or company in a way that misleads people
• get into accounts, systems or data that are not yours
• send spam or malware
• copy, overload or attack Particle, get around its limits, or resell access to it
• make many accounts to get around a limit or a pause
• share or sell your API keys

The AI companies that power Particle have their own rules about content. Particle may refuse some requests because of them.

8. Your content

• What you type, upload and make with Particle is yours. That includes the pictures Particle makes for you, as far as the law allows.
• You give us permission to store your content, send it to our AI providers to answer you, and show it back to you. We use it only to run Particle for you.
• Only upload things you have the right to share.
• If you share a chat by link, anyone with the link can read it. You can stop sharing at any time.
• Pictures made by AI may look like other works or people by chance. You are responsible for how you use them.

9. AI can be wrong

Particle's answers come from AI models. They can be wrong, out of date or incomplete, and they can sound sure when they are not. Check anything important. Do not rely on Particle alone for health, legal, money or safety decisions. Ask a qualified person.

10. Our part

• We work to keep Particle running well, but we cannot promise it will never be down, slow or lose something. Keep your own copy of anything important. Settings, Download my data gives you one.
• We may add, change or remove features. If we remove something big that you pay for, we will tell you first.
• We use other companies to run Particle, such as Stripe, Supabase, Netlify and OpenRouter. We are not responsible for their outages.

11. Pausing or closing accounts

• We may pause or close an account that breaks these terms, puts others at risk, or is used for fraud. Where it is safe to do so, we will tell you why, and you can reply through the Get help page.
• You can delete your account at any time in Settings, Delete my account.

12. Limits on what we owe

• Particle is provided as it is. As far as the law allows, we do not promise that it fits any particular purpose.
• As far as the law allows, we are not responsible for indirect losses, such as lost profits or lost data.
• As far as the law allows, the most we owe you for any claim is what you paid us in the 3 months before the claim.

Nothing in these terms limits a right that the law says cannot be limited.

13. Changes to these terms

If we change these terms, we will update the date at the top. For big changes, we will email you at least 30 days before they take effect. If you keep using Particle after that, the new terms apply. If you do not agree, you can cancel.

14. The law that applies

These terms are governed by the laws of British Columbia and the laws of Canada that apply there. If there is a dispute, please talk to us first. If we cannot settle it, the courts of British Columbia will decide it, unless the law where you live gives you the right to go to your own courts.
